In the context of digital transformation and increasing pressure for sustainable development, the linear growth model based on “extraction - production - consumption - disposal” is increasingly revealing its structural limitations. The circular economy is therefore being regarded as an important approach to improving resource-use efficiency and minimizing environmental impacts. However, most current studies still approach the circular economy primarily as a tool for environmental management or cost optimization, while the role of the circular economy as a strategic capability in corporate governance has not been sufficiently clarified. Based on the theories of dynamic capabilities and digital corporate governance, this study conceptualizes the circular economy as a strategic managerial capability that enables enterprises to restructure their value creation models through the optimization of resource life cycles and the integration of digital data into management processes. Accordingly, the study proposes an analytical framework to examine the relationship between circular economy capability, digital data infrastructure, and firms’ value restructuring capacity.
